1. Acceptance of Terms

By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to both you and the organization. If you do not agree to these Terms, do not use the Service.

2. The Service

AiCastTV provides a cloud-based digital signage platform that lets you connect TVs and other display devices, upload content, and manage what is displayed on your registered screens. We may add, change, or discontinue features of the Service at any time. We do not guarantee that the Service will be available on an uninterrupted basis.

3. Accounts and Registration

To use the Service, you must register for an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at privacy@aicasttv.com if you suspect unauthorized use of your account. The Service is intended for use by businesses and organizations; you must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.

4. Acceptable Use

You agree not to use the Service to:

• Upload or display content that is unlawful, infringing, defamatory, obscene, or that violates the rights of any third party.
• Upload or display content that contains malware or is intended to disrupt or damage any system.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• Use the Service to send unsolicited communications or to violate any applicable law or regulation.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.

We may remove content, or suspend or terminate accounts, that we reasonably believe violate this section.

5. Copyright Complaints (DMCA)

If you believe content displayed through the Service infringes your copyright, you may send a notice to our designated agent that includes: identification of the copyrighted work; identification of the allegedly infringing material and its location; your contact information; a statement that you have a good-faith belief the use is unauthorized; a statement, made under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner; and your physical or electronic signature.

Send notices to privacy@aicasttv.com. We will respond in accordance with the Digital Millennium Copyright Act, which may include removing or disabling access to the material and notifying the user who posted it.

Users who believe their content was removed in error may submit a counter-notice using the same contact details. We will forward counter-notices to the original complainant and may restore the content unless the complainant initiates legal action within the time required by law. We may terminate the accounts of users who are repeat infringers.

6. Your Content and License

You retain ownership of the images, videos, playlists, and other content you upload to the Service ("Your Content"). You are solely responsible for Your Content and for ensuring you have all rights necessary to upload, display, and distribute it through the Service. You grant AiCastTV a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and transmit Your Content solely as necessary to operate and provide the Service to you.

This license survives termination of your account only to the extent necessary for us to maintain backups, comply with legal obligations, or resolve disputes; otherwise, we will delete Your Content in accordance with our Privacy Policy. We will not use Your Content for marketing or any purpose other than operating the Service without your separate consent.

For purposes of applicable data protection law, you are the data controller of any personal data contained in Your Content, and AiCastTV acts only as a data processor, as described in our Privacy Policy.

7. Devices and Screens

You are responsible for the TVs, players, and other display devices you register with the Service, including their physical security, network connectivity, and power. AiCastTV is not responsible for content displayed on a screen due to your account credentials, device URL, or registration link being lost, shared, or compromised.

8. Fees and Payment (If Applicable)

Certain features of the Service may require a paid subscription. If you purchase a paid plan, you agree to pay the fees described at the time of purchase. Fees are billed in advance and are non-refundable except as required by law or as we otherwise state. We may change our fees on a going-forward basis with notice to you. If payment processing is added to the Service, billing details will be handled by a third-party payment processor as described in our Privacy Policy.

9. Intellectual Property

The Service, including its software, design, and trademarks, is owned by AiCastTV or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you to use the Service, we reserve all rights. You may not copy, modify, or create derivative works of the Service.

10. Privacy

Our collection, use, and handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that Privacy Policy.

11. Disclaimers, Limitation of Liability, and Indemnification

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, AiCastTV will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) $100, or (b) the amount you paid us for the Service in the 12 months preceding the claim.

You agree to indemnify and hold AiCastTV harmless from any claims, damages, or expenses arising from Your Content, your use of the Service, or your violation of these Terms.

12. Term, Suspension, and Termination

These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if we discontinue the Service, with notice where practicable.

Upon termination, your right to use the Service ends, and we will handle your account data as described in our Privacy Policy. If we discontinue the Service entirely, we will provide at least 30 days' notice where practicable and a reasonable opportunity to export Your Content before it is deleted.

13. Governing Law and Dispute Resolution

Except for disputes that qualify for small claims court, you and AiCastTV agree to resolve any dispute arising out of or relating to these Terms or the Service through binding arbitration administered by the American Arbitration Association under its applicable rules, rather than in court.

You and AiCastTV each waive the right to a jury trial and to participate in a class action; disputes must be brought on an individual basis only. You may opt out of this arbitration provision by sending written notice to privacy@aicasttv.com within 30 days of first agreeing to these Terms.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

14. Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, or internet, utility, or governmental actions or failures.

15. Changes to These Terms; General Provisions

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page, and, where changes are significant, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and AiCastTV regarding the Service. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
